Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the EvoExtract document data extraction service (the “Service”), operated by Evologics AI Ltd (“EvoExtract”, “we”, “us”), a company incorporated in Mauritius. By creating a workspace or using the Service you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.
1. The Service
EvoExtract extracts structured data from business documents (such as invoices, receipts, purchase orders and bank statements) that you upload or connect. Extraction is performed by machine-learning models and is probabilistic: results carry confidence scores and may contain errors. You are responsible for reviewing extracted data before relying on it — the Service is a processing tool, not a substitute for accounting, legal or professional judgement.
2. Accounts and workspaces
Each sign-up creates an isolated workspace (tenant). You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials and API keys, and for all activity in your workspace, including activity by members you invite. Notify us promptly of any suspected unauthorised access.
3. Your content
You retain all rights to the documents you upload and the data extracted from them (“Customer Content”). You grant us the limited rights needed to operate the Service: storing, processing and transmitting Customer Content to the subprocessors listed in our subprocessor register (including a third-party large-language-model API used for extraction). We do not use Customer Content to train models, and we do not sell it.
You warrant that you have the necessary rights and lawful basis to upload the documents you process, including where they contain personal data of third parties.
4. Acceptable use
You must not:
- use the Service to process content that is unlawful to possess or process;
- attempt to access another workspace’s data or probe the Service’s security;
- resell or provide the Service to third parties except through the documented API;
- exceed or circumvent rate limits, quotas or technical restrictions;
- use the Service to build a directly competing extraction product.
5. Fees and billing
Paid usage is metered in processed pages and billed under the pricing agreed at onboarding (see the usage & billing documentation in the app). Only successfully processed documents are billable; duplicate submissions carrying the same idempotency key are never counted twice. Statements are issued monthly on your billing anniversary and are payable per the agreed settlement terms. We may suspend workspaces with overdue balances after reasonable notice.
6. Availability and support
We operate the Service with commercially reasonable skill and care but do not guarantee uninterrupted availability. Planned maintenance and provider outages may cause downtime. Any service-level commitments apply only if agreed in a separate signed agreement.
7. Data protection
Our processing of personal data is described in the Privacy Policy. Where you upload documents containing personal data, you act as controller and we act as processor; a data processing agreement is available on request. Note the data residency disclosure: when the cloud extraction provider is active, document contents are transmitted to a third-party LLM API outside Mauritius for the duration of the extraction call.
8. Termination and deletion
You may stop using the Service at any time. A workspace admin can permanently delete the workspace from Settings → Workspace, which erases its documents, extracted data and member accounts. We may suspend or terminate workspaces that materially breach these Terms, with notice where practicable. On termination we delete Customer Content within a reasonable period, subject to residual copies in backups that expire on the backup retention schedule.
9. Disclaimers and liability
The Service is provided “as is”. To the maximum extent permitted by law we disclaim all implied warranties, and our aggregate liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid for the Service in that period. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Changes
We may update these Terms from time to time. Material changes will be notified in the app or by email at least 14 days before they take effect; continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the Republic of Mauritius, and the courts of Mauritius have exclusive jurisdiction, without prejudice to mandatory consumer or data protection rights that apply in your jurisdiction.
